Terms of Service

1. Who we are

Mentrup Group LLC, a California limited liability company, does business as Barspirit Premier Bartending Service. In these Terms, "Barspirit", "we", "us" and "our" mean Mentrup Group LLC doing business as Barspirit Premier Bartending Service. "You" means the person reading or using our website, asking us for a quote, or booking staff with us.

2. What these Terms cover

These Terms of Service (the "Terms") apply to www.barspirit.net and to every subdomain of barspirit.net that we operate. Our form, portal, api and staff subdomains are examples. They also apply to the AI quote endpoint described at https://www.barspirit.net/book-with-ai and to any content we publish on those properties. We call all of that "the Sites".

These Terms govern your use of the Sites. They are not the agreement you sign when you book an event, and they do not replace it. Section 6 sets out which document controls what.

3. Your agreement to these Terms

By using the Sites, requesting a quote, or booking with us, you agree to these Terms. When you submit a quote request or booking form, you agree to these Terms and to our Privacy Policy.

If you do not agree with something here, please do not use the Sites, and tell us why. We would rather hear it than lose you over a paragraph.

4. Who may use the Sites

You must be at least 18 years old and able to enter into a binding contract to use the Sites or to request services from us. If you are using the Sites on behalf of a company, a venue, a school or any other organization, you are telling us that you have authority to accept these Terms for it, and "you" then means both you and that organization.

Please keep the information you give us accurate. We build quotes, staffing plans and schedules from what you tell us about your event, and a wrong date, headcount or address costs everyone time.

5. What we do, and what we do not do

Barspirit is an event staffing company serving the Los Angeles area. We supply bartenders, servers, barbacks and shoppers for weddings, private parties, corporate events and similar occasions, and the Sites are where we describe that work, publish guides about it, and take quote requests and bookings.

The people we send to your event are employees of Barspirit. We hire, train, schedule and pay them, and they are covered by our workers' compensation policy. We are not a marketplace, a directory or a staffing app, and we do not connect you with third parties to do the work.

Barspirit does not hold a California ABC license and does not sell alcohol. On the events we staff, the client buys and supplies the alcohol, and our staff pour and serve what the client has provided. Our staff will refuse to serve alcohol to anyone under 21, to anyone who cannot produce valid identification when asked, and to anyone who appears intoxicated. That is not negotiable, and it is not something a client can direct us to waive.

6. Quotes, bookings, and which document controls

Prices, packages, staffing levels and availability shown on the Sites are general information, not an offer. A quote we send you is an estimate until a Service Agreement is signed. Pricing, staff availability and your event date can change until then, and a date is held only once the Service Agreement is signed and any required deposit is paid.

Quote links and booking portal links we send you are personal to you. Please do not forward or publish them, and tell us at info@barspirit.net if you think one has been misused.

Three documents can apply to your relationship with us. If they conflict, this is the order:

Use the Sites lawfully and reasonably. You agree not to:

We may decline or discontinue access to the Sites for anyone who breaks these rules.

8. Our content, our marks, and your reviews

We own or license the text, photographs, graphics, page design, code, guides and calculators on the Sites, and they are protected by copyright and other laws. We give you a limited, personal, non-exclusive, revocable permission to view, print and save pages of the Sites for your own non-commercial use in considering, planning or managing a booking. Any other use needs our written permission.

"Barspirit", "Barspirit Premier Bartending Service", our logo and our other marks belong to us. Do not use them in a way that suggests we sponsor, endorse or are affiliated with you. You may of course name us truthfully to identify us, to review us, or to comment on us and our services. That is nominative fair use, and nothing in these Terms restricts it.

Nothing in these Terms restricts you from writing an honest review of Barspirit, positive or negative, anywhere you choose to post it. We do not ask customers to give up that right, and any provision that tried to would be void.

If you send us an idea, a suggestion or feedback about the Sites or our services, we may use it without any obligation or payment to you, so please do not send it if you expect it to be treated as confidential.

9. Copyright concerns

If you believe something on the Sites infringes your copyright, email legal@barspirit.net with the URL of the page, a description of the work you own, and what you believe is infringing. We will review it and respond.

10. Third-party services and links

Parts of the Sites rely on services we do not control. Our quote and booking forms are hosted by Cognito Forms and by GoHighLevel, which also powers our customer portal, chat, electronic signature and text messaging. Card payments are processed by Stripe. Some pages embed reviews from Yelp. The Sites are delivered through Cloudflare, and we use analytics tools to understand how the Sites are used. Each of those providers has its own terms and privacy practices, and those apply to you when you use them.

The Sites also link out to other websites, including review platforms, venues, suppliers and public agency pages. We do not control those sites, we do not endorse them simply by linking to them, and we are not responsible for their content, their availability, their pricing or their handling of your information. Read their terms before you rely on them.

11. Privacy

Our Privacy Policy at https://www.barspirit.net/privacy explains what we collect, how we use it, and the choices you have. By using the Sites you agree to it. California privacy rights apply to the extent required by applicable law, and the Privacy Policy explains how to exercise the rights you have.

12. Communications and text messages

We may contact you by email, by phone, by text message, or through the booking portal about your quote, your booking and your event. If you give us your mobile number, you agree that we may text you about those things. Reply STOP to any text to opt out and HELP for help. Message and data rates may apply, and message frequency varies. Opting out of texts does not stop us from reaching you by email or phone about a booking you have already made.

13. Electronic signatures and records

Agreements with us may be signed electronically, and electronic records and signatures satisfy any requirement that an agreement be in writing or be signed.

14. Accessibility

We want the Sites to work for everyone. Our accessibility statement is at https://www.barspirit.net/accessibility. If you hit a barrier on the Sites, or you need another way to request a quote, tell us at info@barspirit.net or (845) 237-4657. We will help you directly and fix the underlying problem where we can.

15. Not legal or professional advice

The Sites carry general information about alcohol licensing and permits, insurance, how much alcohol to buy, staffing ratios and what events typically cost, including our guides and calculators. That information is general, it may not fit your event, your venue or your city, and rules and prices change. It is not legal advice, and it is not a substitute for guidance from the California Department of Alcoholic Beverage Control, your venue, your insurer or your own attorney. Confirm anything that matters before you rely on it.

16. Disclaimers

THE SITES AND THEIR CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY CONTENT, ESTIMATE, PRICE OR AVAILABILITY SHOWN ON THE SITES IS ACCURATE OR CURRENT.

This section is about the Sites. It does not disclaim anything we promise about the staffing services themselves. Those promises live in the Service Agreement.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BARSPIRIT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS YOU PAID BARSPIRIT IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

That cap is about website use. If your claim is about staffing services we performed or were booked to perform, the limitation of liability in your Service Agreement governs instead.

Nothing in these Terms limits or excludes liability for fraud, for willful injury to the person or property of another, for gross negligence, or for violation of law, whether willful or negligent, and nothing here limits any liability that cannot be limited under California law.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the exclusions and limits above apply only as far as the law allows, and the rest of this section stays in effect.

18. Indemnity

You agree to indemnify, defend and hold harmless Barspirit and its owners, officers and employees from any claim, loss, liability, damage, fine, penalty or expense, including reasonable attorneys' fees, arising out of or relating to your breach of these Terms, your misuse of the Sites, your violation of law, your event, the conduct of your guests, the condition of your venue, or the alcohol you supply. This does not apply to the extent the claim is caused by Barspirit's own negligence or intentional misconduct.

19. Site availability and changes to the Sites

We may change, suspend or discontinue any part of the Sites at any time, including a page, a guide, a calculator or a form. We are not liable to you for downtime, for content we remove, or for delays and failures on the Sites caused by events beyond our reasonable control, such as outages at our hosting or form providers. Force majeure affecting a booked event is handled in the Service Agreement, not here.

20. Changes to these Terms

We may update these Terms. The current version is always at https://www.barspirit.net/tos, and the "Last updated" date on this page tells you when it last changed. Changes take effect when they are posted and they are not retroactive. If you keep using the Sites after that date changes, you accept the updated Terms.

21. Resolving disputes

Talk to us first. Before either of us files anything in court, the one with the complaint must send the other written notice describing the problem and what would resolve it. Send yours to legal@barspirit.net or to the mailing address in section 25, and we will send ours to the email address and mailing address you gave us. Both of us then have 30 days from that notice to try in good faith to work it out. This step is required before filing, and it does not prevent either of us from asking a court for emergency relief where it is genuinely needed.

Either of us may bring a qualifying claim in small claims court instead. Nothing in these Terms takes that away.

These Terms, and any dispute relating to them, to the Sites or to our services, are governed by the laws of the State of California, without regard to its conflict of law rules. You and Barspirit agree that the exclusive venue for any dispute is the state and federal courts located in Los Angeles County, California, and each of us consents to personal jurisdiction there.

22. Time limit on claims

Any claim relating to our services or the Sites must be brought within one year after the claim accrues. For a claim about an event we staffed or were booked to staff, it must be brought within one year after the event date. A claim not brought within that time is permanently barred.

This time limit does not apply to claims for personal injury or wrongful death, and it does not apply to any claim that by law cannot be shortened by agreement.

23. General terms

No third-party beneficiaries. These Terms are between you and Barspirit. Except where they expressly say otherwise, no one else has rights under them.

Assignment. We may assign these Terms to an affiliate, or in connection with a merger, reorganization or sale of our business. You may not assign them, or transfer your rights under them, without our written consent.

Severability. If any provision of these Terms is held unenforceable, it will be limited or removed only to the extent necessary, and the rest stays in effect.

Waiver. If we do not enforce a provision, that is not a waiver of it, and it does not waive any later breach. A waiver counts only if we put it in writing.

Entire agreement. These Terms, together with the Privacy Policy and the documents they link to, are the entire agreement about your use of the Sites, subject to the order of precedence in section 6.

Survival. Sections 8, 9, 15, 16, 17, 18, 21, 22 and 23 survive after you stop using the Sites.

Headings. Headings are for convenience only and do not affect how these Terms are read.

24. California consumer notice

Under California Civil Code section 1789.3, California users are entitled to the following notice. This service is provided by Mentrup Group LLC doing business as Barspirit Premier Bartending Service, 6310 San Vicente Blvd Ste 106, Los Angeles, CA 90048, telephone (845) 237-4657, email info@barspirit.net. We charge no fee for using the Sites. Fees for staffing services are set out in your quote and in your Service Agreement. To file a complaint about the Sites, or to receive further information about using them, contact us at the address above. You may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
